1. Acceptance of Terms

By accessing, browsing, or utilizing the digital interfaces, services, or equipment (collectively, the “Services”) provided by YYC Equipment Rentals Inc. (“Company,” “we,” “us”), you (“User,” “you”) hereby agree to be irrevocably bound by these Terms of Service (“Terms”), all ancillary agreements (e.g., Rental Contracts), and all applicable federal, provincial, and municipal laws.

IF YOU DO NOT UNCONDITIONALLY ACCEPT THESE TERMS IN THEIR ENTIRETY, YOU ARE PROHIBITED FROM USING THE SERVICES.

2. Eligibility & Account Registration

2.1 Eligibility

The Services are available solely to individuals or entities possessing the legal capacity to enter binding contracts under Alberta law. Minors under the age of 18 are expressly prohibited from renting equipment.

2.2 Account Obligations

Users must:
- Provide accurate, current, and complete information during registration.
- Maintain the confidentiality of login credentials.
- Promptly notify the Company of unauthorized account activity.

3. Rental Agreements

3.1 Equipment Use

All rented equipment (“Equipment”) must be used strictly in accordance with:
- Manufacturer specifications and operational guidelines.
- All safety protocols, occupational codes, and regulatory standards.

Modification, disassembly, or misuse of Equipment is strictly prohibited and may result in criminal liability.

3.2 Damage & Liability

Users assume full financial responsibility for:
- Loss, theft, or damage to Equipment, excluding ordinary wear and tear.
- Third-party bodily injury, property damage, or economic loss arising from Equipment misuse.

3.3 Return Conditions
Equipment must be returned in the same condition as initially rented, subject to a post-return inspection. Late returns incur prorated fees at a percentage of the daily rental rate.

4. Payment Terms

4.1 Fees & Taxes

Users agree to remit all invoiced amounts, including but not limited to:
- Base rental fees.
- Security deposits.
- Delivery surcharges.
- Provincial sales tax (PST) and goods and services tax (GST).

4.2 Late Payments

Delinquent accounts shall accrue interest at the rate of 2% per month (24% APR), compounded daily.

5. Disclaimers & Limitation of Liability

5.1 As-Is Basis
EQUIPMENT IS PROVIDED “AS-IS” AND “AS-AVAILABLE.” THE COMPANY EXPLICITLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

5.2 Consequential Damages

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (E.G., LOST PROFITS, BUSINESS INTERRUPTION) ARISING FROM THE USE OR INABILITY TO USE THE SERVICES.

6. Indemnification

User agrees to indemnify, defend, and hold harmless the Company, its officers, directors, and affiliates from all claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from a breach of these terms, gross negligence or willful misconduct, or violation of third-party rights.

7. Termination

The Company reserves the right to suspend or terminate User access to the Services, without prior notice, for material breach of these terms, suspicion of fraudulent activity, and non-payment of fees.

8. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the Province of Alberta. All disputes arising hereunder shall be resolved through binding arbitration administered by the Alberta Arbitration Act, with proceedings conducted in Calgary, Alberta.

9. Miscellaneous

9.1 Entire Agreement

These Terms constitute the entire agreement between the parties, superseding all prior oral or written understandings.

9.2 Severability

If any provision is deemed unenforceable, the remaining provisions shall remain in full force.

9.3 Force Majeure

The Company shall not be liable for delays or failures attributable to acts of God, pandemics, strikes, or governmental actions.
